1. Acceptance of Terms
Welcome to Optionia-Product Options ("Optionia," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Optionia services, including our website located at https://optionia.com (the "Website") and our Shopify application available at app.shopify.com/optionia (the "App"), collectively referred to as the "Services."

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Description of Services
Optiona, a Shopify application that enables merchants to add customizable product options (e.g., text, image swatches, selections & limitless variants) to their online stores. The Services include subscription plans, including a free plan, and may be enhanced or modified from time to time.
3. User Accounts
The Services do not require you to create a user account with Optionia. Access and management of the App are facilitated through your Shopify admin account. You are responsible for maintaining the confidentiality of your Shopify login credentials and for all activities that occur under your account.
4. User-Generated Content
4.1. Responsibility
You may create, upload, or submit content, such as text and images, in connection with your use of the Services ("User Content"). You retain all rights to your User Content. By submitting User Content, you represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use such User Content as necessary to provide the Services.

4.2. License to Use
You grant ParseLab, LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purpose of operating, providing, and improving the Services.
4.3. Prohibited Content
You agree not to upload, post, or transmit any User Content that is unlawful, infringing, defamatory, obscene, pornographic, invasive of privacy, or otherwise objectionable. We reserve the right, but are not obligated, to remove any User Content that we determine, in our sole discretion, violates these Terms.
5. Intellectual Property
5.1. Our Property
All rights, title, and interest in and to the Services, including our software, databases, design, text, graphics, logos, trademarks, and all other content created by us ("Optionia Content"), are and will remain the exclusive property of ParseLab, LLC and its licensors. The Services and Optionia Content are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in these Terms gives you a right to use the Optionia name or any of our trademarks, logos, domain names, or other distinctive brand features.
5.2. Feedback
We welcome your feedback, comments, and suggestions for improvements to the Services ("Feedback"). By submitting Feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose without any obligation or compensation to you.
6. Subscription Plans, Payments, and Billing
6.1. Plans
We offer various subscription plans, including a free plan. Details of the features, limitations, and fees for each plan are described on our Website and within the App. We reserve the right to modify our plans and pricing at any time, but such changes will not apply to your current subscription period without prior notice.

6.2. Billing
All subscription fees are billed and processed through the Shopify App Billing system. By subscribing, you authorize Shopify to charge the applicable fees to your chosen payment method. Subscription fees are prepaid and non-refundable, except as required by law or as expressly stated in these Terms.

6.3. Free Plan
The free plan may be used subject to its specified limitations. We reserve the right to modify or discontinue the free plan at any time.

6.4. Renewal and Cancellation
Subscriptions automatically renew at the end of each billing cycle unless you cancel through your Shopify admin panel before the renewal date. You may cancel your subscription at any time. Upon cancellation, you will retain access to the paid Services until the end of your current billing period.

7. Promotions, Contests, and Sweepstakes
From time to time, we may offer promotions, contests, or sweepstakes through the Services. Additional terms and conditions will apply to such activities and will be made available to you at the time of the offering.

8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARSELAB, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification
You agree to indemnify, defend, and hold harmless ParseLab, LLC, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any User Content you create or upload.

11. Termination
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on the Website and/or notifying you via the App or email. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
